The plain-English version: we make tools that send Instagram messages on your behalf. You promise to play nice, follow Meta's rules, and not spam people. We promise to keep your data safe and not be weird about it. If anything's unclear, email us.
1. Agreement
These Terms ("Terms") form a binding agreement between you ("you," "Customer") and OyeReply Technologies, Inc. ("OyeReply," "we," "us") covering your use of the OyeReply website, mobile app, dashboards and APIs (the "Service"). By creating an account or using the Service, you agree to these Terms.
2. Your account
You must be at least 18 and able to enter a contract in your country. You're responsible for activity on your account and for keeping your credentials safe. Tell us at security@oyereply.com the moment you suspect anything strange.
3. Acceptable use
Don't use OyeReply to:
- Send spam, scams, MLM pitches, or anything you wouldn't want to receive yourself
- Harass, threaten, defraud, or impersonate anyone
- Send adult, hateful, illegal, or violent content
- Buy followers, fake engagement, or evade Meta detection
- Reverse-engineer, scrape, or resell the Service without our written permission
4. Instagram & Meta
OyeReply uses Meta's official Instagram Messaging API. When you connect an account you also agree to be bound by Meta's Platform Policy and Instagram's terms. If Meta restricts or suspends an account, we may have to pause or stop sending messages on its behalf — that's a platform reality, not a refund event.
We honor Meta's 24-hour messaging window and message tag rules on every send. You're responsible for the content of every message we deliver on your behalf.
5. Subscriptions & billing
Paid plans renew automatically every month or year until you cancel. Prices are listed on our pricing page in USD; taxes may be added based on your location. Refunds are governed by our Refund Policy.
If a payment fails we'll retry for up to 7 days. If we still can't collect, your paid features pause. The free plan stays available.
6. Your data
You own your data. We process it on your behalf to operate the Service, as described in our Privacy Policy. We will never sell it, rent it, or use it to train third-party models without your written consent.
You can export everything (contacts, messages, flows) to CSV or JSON from Settings → Export at any time, including the 30-day grace period after cancellation.
7. Intellectual property
You keep all rights to your content and brand. By using OyeReply you grant us a limited license to host, transmit and display your content as needed to provide the Service. The Service itself, including the OyeReply name and the friendly little parrot mascot, are ours.
8. Termination
You can cancel anytime from Settings → Billing. We may suspend or terminate accounts that violate these Terms or Meta's policies. On termination we'll keep your data for 30 days so you can export it, then it's deleted from primary systems within 60 days.
9. Disclaimers
The Service is provided "as is." We don't promise that auto-replies will produce sales, that Instagram will never change its rules, or that you'll go viral. We do promise to do our honest best.
10. Limitation of liability
To the maximum extent allowed by law, neither party is liable for indirect, special, or consequential damages. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.
11. Changes to these terms
If we make material changes we'll email you at least 14 days before they take effect. Small typo fixes don't count. The "Last updated" date at the top always reflects the current version.
